Terms of Service

1. Introduction and Acceptance

These Terms of Service ("Terms") govern your access to and use of Wallet Sleuth (the "Service"), operated by Wisteria Technologies LLC ("we," "us," or "our"). By creating an account, signing in, or otherwise using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service. You represent that you are not on any U.S. sanctions list and are not located in a country embargoed by the United States.

2. Description of the Service

Wallet Sleuth is a read-only blockchain analytics and alerting platform for Solana. It monitors publicly available on-chain activity for wallet addresses you choose to track and notifies you when configured events occur. Features include:

  • Wallet address monitoring on the Solana network
  • Buy / sell / transfer detection with USD valuation
  • Real-time alerts via in-app push, email, SMS, and Telegram
  • Wallet identity graph, nicknames, tags, and shared tracking pages
  • Investigative tools (Scout) and a personal address book

What the Service is NOT:

  • The Service does not custody, hold, or have access to your cryptocurrency, tokens, NFTs, private keys, or seed phrases.
  • The Service does not trade, swap, bridge, stake, sign transactions, or otherwise move digital assets on your behalf or anyone else's.
  • The Service is not a broker-dealer, exchange, money services business, investment adviser, or financial institution.
  • Nothing in the Service constitutes financial, investment, legal, or tax advice.

3. Accounts

To use the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration and keep it up to date
  • Maintain the confidentiality of your sign-in credentials and any device used to access the Service
  • Notify us promptly at admin@wisteriatechnologies.com if you suspect unauthorized access
  • Be responsible for all activity that occurs under your account

You may delete your account at any time from within the Service. See Section 13 for the consequences of termination.

4. Subscriptions, Payments, and Refunds

4.1 Plans

The Service offers paid subscription tiers (collectively, "Pro Plans") that unlock additional features such as higher wallet limits, contact groups, and additional alert channels. We currently offer three Pro tiers — Tracker, Sleuth, and Detective — each on a one-month auto-renewing billing cycle. Current pricing and feature lists are displayed in the Service at the point of purchase.

4.2 Billing and Auto-Renewal

Pro Plans bill in advance on a recurring monthly basis. Unless you cancel before the end of the current billing period, your subscription automatically renews at the then-current price. The Service supports two payment paths:

  • Apple In-App Purchase (iOS only): billed by Apple to your Apple ID. Payment is charged at confirmation of purchase and at the start of each renewal period. Apple's standard terms apply.
  • Credit/debit card (web): processed by Stripe. Card details are handled by Stripe under its own terms and are not stored by us.

4.3 Cancellation

Cancellation takes effect at the end of the then-current billing period. You retain access to paid features until the period ends, after which access reverts to the free tier.

  • Apple subscriptions (iOS): manage and cancel from your iOS device at Settings → [your name] → Subscriptions, or in the App Store app. You must cancel at least 24 hours before the renewal date to avoid the next charge.
  • Stripe subscriptions (web): manage and cancel from your account settings at walletsleuth.app.

4.4 Refunds

Except where required by applicable law (including Section 12 for users in the EEA, UK, and Switzerland), all fees paid are non-refundable.

  • Apple In-App Purchases: refunds are handled by Apple, not by us. Request a refund at reportaproblem.apple.com.
  • Stripe charges: contact admin@wisteriatechnologies.com within 14 days of the charge and we will review in good faith.

4.5 Price Changes

We may change prices for new subscription periods. We will provide at least 30 days' notice via email or in-app notice before a price change applies to your renewal. For Apple subscriptions, Apple may also notify you separately and may require your affirmative consent before applying a price increase, per Apple's rules. If you do not accept the change, you may cancel before the new price takes effect.

4.6 Web vs. Mobile Subscriptions

The Service offers two distinct subscription models:

  • Web (per tracking page): a Pro Plan purchased on walletsleuth.app applies to one specific tracking page. You may purchase multiple Pro Plans, one per page.
  • iOS (per Apple ID): a Pro Plan purchased through the iOS app applies to your Apple ID and is assigned to one tracking page at a time. You may reassign the subscription to a different tracking page from within the iOS app; upgrades and downgrades occur through Apple's standard subscription-group mechanism.

Web and iOS subscriptions are separate. Purchasing one does not entitle you to the other.

5. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law, regulation, or third-party right
  • Facilitate unauthorized surveillance, stalking, doxxing, or harassment of any person or entity
  • Attempt to gain unauthorized access to the Service, other users' accounts, or our infrastructure
  • Reverse engineer, decompile, or attempt to extract source code, except as permitted by law
  • Scrape, mirror, or systematically extract data from the Service except through documented APIs and within published rate limits
  • Resell, sublicense, or commercially exploit the Service or any output without our written permission
  • Submit content that is illegal, threatening, harassing, defamatory, hateful, discriminatory, sexually explicit, or that infringes the intellectual property or privacy rights of others
  • Use the Service to facilitate market manipulation, insider trading, wash trading, or other unlawful market activity
  • Upload or transmit viruses, malware, or other harmful code
  • Use automated tools (bots, scrapers) to interact with the Service except as we expressly authorize

We may suspend or terminate accounts that violate these rules, with or without notice, in our sole discretion.

6. User-Generated Content

The Service lets you create content visible to other users you share access with, such as wallet nicknames, tags, and contact-group labels ("Your Content").

6.1 Ownership and License

You retain all ownership rights to Your Content. By submitting Your Content to the Service, you grant Wisteria Technologies LLC a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify, display, and distribute Your Content solely to provide and improve the Service, including displaying Your Content to members of tracking pages you share it with.

6.2 Your Representations

You represent that Your Content does not violate any third party's rights and complies with Section 5 (Acceptable Use). You are solely responsible for Your Content.

6.3 Reporting and Moderation

You may report objectionable content from within the Service. We review reports within 24 hours and may remove content, suspend users, or take other action in our discretion. We do not pre-screen user-generated content but reserve the right to do so.

6.4 DMCA / Copyright

If you believe Your Content has been copied in a way that constitutes copyright infringement, send a notice to admin@wisteriatechnologies.com with: (a) identification of the copyrighted work, (b) identification of the allegedly infringing material and its location, (c) your contact information, (d) a statement of good-faith belief, (e) a statement under penalty of perjury that the information is accurate and you are authorized to act, and (f) a physical or electronic signature.

7. Cryptocurrency and Investment Disclaimers

Wallet Sleuth is an informational tool. Cryptocurrency is volatile, speculative, and may result in total loss. You acknowledge and agree that:

  • Nothing in the Service constitutes investment, financial, legal, accounting, or tax advice
  • The alerts, price data, market-cap figures, transaction classifications, and analytics presented are derived from public sources and may be inaccurate, delayed, or incomplete
  • You are solely responsible for your own investment decisions and trading activity
  • We do not guarantee the accuracy of blockchain data, third-party price feeds, or token metadata
  • Missed, delayed, or duplicate alerts may occur due to factors outside our control, including blockchain congestion, third-party API outages, and device-level notification settings
  • We do not endorse any token, wallet, project, exchange, or counterparty referenced anywhere in the Service

8. Service Availability and Changes

We aim to keep the Service available but do not guarantee uninterrupted, error-free, or secure operation. The Service depends on third-party providers (Helius, Alchemy, Firebase, Stripe, Resend, Twilio, the Solana network, Apple, Google, and others) whose outages may affect the Service.

We may add, modify, or remove features, change pricing, or discontinue all or part of the Service at any time. Where the change is material and adverse to paid subscribers, we will provide at least 30 days' notice and offer a pro-rata refund for the unused portion of the current paid period.

9. Intellectual Property

The Service, including all software, designs, text, graphics, logos, and the "Wallet Sleuth" name, is owned by Wisteria Technologies LLC and is protected by intellectual property laws. Subject to these Terms, we grant you a personal, non-exclusive, non-transferable, revocable license to use the Service for your internal use.

No license is granted by implication. Trademarks of third-party tokens, projects, or services referenced in the Service are the property of their respective owners and their inclusion does not imply endorsement.

If you submit feedback, bug reports, or suggestions, you grant us a perpetual, irrevocable, royalty-free license to use them without restriction.

10. Disclaimers and Limitation of Liability

10.1 As-Is

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND QUIET ENJOYMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

10.2 Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL WISTERIA TECHNOLOGIES LLC, ITS OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR TRADING LOSSES, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS WILL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS ($100), OR (B) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow the exclusion of certain warranties or limitations on liability for consequential or incidental damages, so the above may not apply to you in full. To that extent, our liability is limited to the maximum extent permitted by law.

11. Indemnification

You agree to defend, indemnify, and hold harmless Wisteria Technologies LLC, its officers, employees, and agents from and against any claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service, (b) your violation of these Terms, (c) Your Content, or (d) your violation of any third-party right or applicable law. We reserve the right to assume the exclusive defense of any matter subject to indemnification, in which case you will cooperate as we reasonably request.

12. EU/UK/Swiss Consumer Rights

If you are a consumer resident in the European Economic Area, the United Kingdom, or Switzerland, you may have a statutory right to withdraw from a paid subscription within 14 days of purchase. To exercise this right, contact admin@wisteriatechnologies.com within 14 days of your purchase. By starting to use the paid Service during this period, you acknowledge that we may begin performance and that your right of withdrawal ends when performance is complete. Nothing in these Terms limits any mandatory consumer-protection rights you have under applicable local law.

13. Suspension and Termination

We may suspend or terminate your account, with or without notice, if we reasonably believe you have violated these Terms, presented a security or legal risk, or made the Service unstable for other users. You may delete your account at any time from within the Service.

On termination: (a) your right to use the Service ends, (b) we will delete or anonymize your personal information as described in our Privacy Policy, (c) any active paid subscription will be cancelled (no partial refund for the current period unless required by law), and (d) Sections 6.1, 7, 9, 10, 11, 14, and 15 will survive.

14. Governing Law, Arbitration, and Class Action Waiver

14.1 Governing Law

These Terms are governed by the laws of the State of Wyoming, USA, without regard to its conflict of laws principles, and the U.S. Federal Arbitration Act with respect to any arbitration.

14.2 Informal Resolution

Before filing a formal claim, you agree to contact us at admin@wisteriatechnologies.com and attempt to resolve the dispute informally for at least 30 days.

14.3 Binding Arbitration

Any dispute not resolved informally will be settled by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. The arbitration will be conducted in English, by a single arbitrator, in the State of Wyoming unless we agree otherwise. Judgment on the award may be entered in any court of competent jurisdiction.

14.4 Class Action Waiver

YOU AND WE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. The arbitrator may not consolidate more than one person's claims or preside over any form of representative or class proceeding.

14.5 Exceptions

Nothing in this section prevents either party from seeking injunctive or equitable relief in court for intellectual-property infringement or unauthorized access to the Service, or from bringing a qualifying claim in small-claims court. EU/UK/Swiss consumers retain the right to bring claims in the courts of their place of residence under applicable consumer law.

15. Apple App Store Additional Terms

If you obtained the Wallet Sleuth iOS application from the Apple App Store, the following terms also apply:

  • These Terms are between you and Wisteria Technologies LLC only, not with Apple Inc. Apple is not responsible for the application or its content.
  • Apple has no obligation to provide maintenance or support for the application.
  • If the application fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) you paid for it; to the maximum extent permitted by law, Apple has no other warranty obligation with respect to the application.
  • Apple is not responsible for addressing claims by you or any third party relating to the application.
  • You represent that you are not located in a U.S.-embargoed country and are not on any U.S. Government list of prohibited or restricted parties.
  • Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

16. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide at least 30 days' notice by email or in-app notice. Your continued use of the Service after the change takes effect constitutes acceptance. If you do not agree to the changes, stop using the Service and delete your account before the effective date.

17. Miscellaneous

  • Entire Agreement. These Terms, together with the Privacy Policy and any documents incorporated by reference, are the entire agreement between you and us regarding the Service.
  • Severability. If any provision is held unenforceable, the rest remain in effect.
  • No Waiver. Our failure to enforce a provision is not a waiver of our right to enforce it later.
  • Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets, on notice to you.
  • Force Majeure. We are not liable for delays or failures caused by events outside our reasonable control, including natural disasters, network outages, blockchain failures, regulatory action, or acts of war.
  • Notices. We may send notices to the email address associated with your account. You may send notices to us at admin@wisteriatechnologies.com.
  • Relationship. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and us.
